About the Onduo Platform

The Onduo LLC Platform ("Onduo Platform") is a resource made available by Onduo LLC and its affiliates (collectively "Onduo") to individuals who would like to view and manage their medical information online, and communicate with certain health care providers accessible through the Onduo Platform (the “Service”). Onduo offers this Service under agreement with your health insurer. By choosing to access and use the Onduo Platform, you acknowledge and agree to all of the terms and conditions of use set forth herein.

The Onduo Platform is designed for citizens of the United States who reside in the United States; it may not be lawful or appropriate for access and use in other jurisdictions and such users are not authorized to use the Onduo Platform.

By checking the box, you are indicating that you agree to be bound by all of these terms. Please print and retain a copy of these Terms of Use. Onduo may, from time to time, change these Terms of Use. When the terms are changed, Onduo will post the updated terms and require you to review and accept the new terms before you continue to use Onduo Platform. Your acceptance and subsequent use of Onduo Platform after such changes become effective constitutes acceptance of the new terms. If you do not agree to such changed terms, or if at any time you no longer wish to otherwise abide by these Terms of Use, you should not access or use Onduo Platform. The most current version of these Terms of Use can be accessed at any time by selecting the "Onduo Platform Terms of Use" link which are available at https://onduo.com/terms/. Certain provisions of these Terms of Use may be superseded by expressly designated legal notices or terms located on particular pages within this site.

Onduo Platform Disclaimer

IF YOU THINK YOU HAVE A MEDICAL EMERGENCY, CALL YOUR DOCTOR OR 911 IMMEDIATELY. DO NOT RELY ON ELECTRONIC COMMUNICATIONS OR COMMUNICATION THROUGH THE ONDUO PLATFORM FOR IMMEDIATE, URGENT MEDICAL NEEDS. THIS PLATFORM IS NOT DESIGNED TO FACILITATE MEDICAL EMERGENCIES.

Onduo does not practice medicine or provide medical services. The Onduo Platform enables certain affiliated health care providers, including Onduo Professionals, P.C., and other affiliated professional organizations and providers to utilize communication features, such as clinical messaging and virtual visit tools that may, in appropriate circumstances, establish a doctor-patient relationship between you and such independent third party health care provider. Any content or tool on this platform, such as text, data, illustrations, graphical elements, animation, photos, images, and other materials, is provided for reference and educational purposes only. Such content and tools are not meant to be complete or exhaustive or meant to be applicable to any specific individual's medical condition. These resources should not be used to make a diagnosis or to replace or overrule a qualified health care provider's judgment. All users are strongly encouraged to consult with a qualified health care professional for answers to personal questions.

Onduo has created and maintains the Onduo Platform to provide general information about Onduo, and to assist individuals in obtaining health care services and general health information. Information appearing on Onduo Platform and any other sources may be prepared by health care providers or staff affiliated with Onduo, affiliated professional organizations, or it may be contributed by outside sources. The Onduo Platform and sites may also contain links to external, non-Onduo platforms or sites for your convenience. Onduo entities are not responsible for the availability or accuracy of the content appearing on such external, non-Onduo platforms or web sites, nor do they endorse them. All users are strongly advised to carefully read the terms of use, privacy policies and notices, copyright notices and disclaimers for any external, non-Onduo sites they access in addition to those terms, policies, notices and disclaimers for platforms maintained by Onduo entities.

You assume full responsibility for using the information on this site, and you understand and agree that no Onduo entity is responsible or liable for any claim, loss, or damage resulting from use of such information by you or any other user.

Onduo Platform Terms and Conditions of Use

These terms and conditions, including but not limited to the Onduo Platform Disclaimer, Onduo Platform Privacy Policy, and Onduo Platform Intellectual Property Notice, ("Terms") detail your privileges, rights and obligations relating to your use of Onduo Platform. We may modify these terms at any time and any such modification will be effective within a minimum of three days upon its posting. All users are strongly advised to periodically review these Terms, including but not limited to the Onduo Platform Disclaimer, Onduo Platform Privacy Policy, and Onduo Platform Intellectual Property Notice.

If you do not agree to any of the Terms, you should not access or use Onduo, and, if you already have a registered account with Onduo, you may deactivate your account online. Upon deactivation all account registration information will be deleted and may no longer be retrievable by you, although your health information will not be deleted. Uninstalling the app does not constitute account deactivation or deletion of your information. Please note, however, that information you enter or accept into your Onduo Platform account is backed-up and saved on a server and as such, we cannot guarantee that information that has been deleted from an Onduo Platform account will not be available elsewhere.

YOU UNDERSTAND THAT USE OF ANY ONDUO PLATFORM FEATURES IS SUBJECT TO THESE TERMS AND THE ONDUO PLATFORM DISCLAIMER, ONDUO PLATFORM PRIVACY POLICY, AND ONDUO PLATFORM INTELLECTUAL PROPERTY NOTICE REFERENCED HEREIN, EACH OF WHICH IS INCORPORATED HEREIN AND CONSIDERED AS PART OF THESE TERMS. YOU WILL BE DEEMED TO HAVE ACCEPTED (WITHOUT MODIFICATION BY YOU) ALL OF THE TERMS, CONDITIONS, POLICIES AND NOTICES REFERENCED IN THESE TERMS UPON ACCESSING ONDUO PLATFORM.

PLATFORM ACCESS

Subject to the terms contained herein, Onduo hereby grants you a limited license to access Onduo Platform. You agree that you shall use Onduo Platform only in accordance with the Terms of Use, applicable law, and the rules, policies and procedures established by Onduo for use of Onduo Platform. This license may not be shared with or transferred or sublicensed to any other party. You agree that you are using and will continue to use appropriate technical safeguards to secure the devices used to access Onduo Platform, including up-to-date virus protection on PCs, smartphones and tablets. You represent and warrant that all information provided to Onduo in connection with this Agreement, including in the process of registration for Onduo Platform, is true, accurate and complete. You are responsible for installing and maintaining all equipment and systems necessary to access Onduo Platform and for paying all charges related thereto.

You understand that information you send or receive via the Onduo Platform may become part of a medical record established by Onduo Professionals, P.C. or other affiliated professional entities and providers, but may not automatically become part of your separate medical records held by non-participating clinicians unless you request such records and provide them.

SECURITY AND PASSWORDS

Access to Onduo Platform is enabled by usernames and passwords, security questions and answers and additional security measures as may be implemented from time to time by Onduo Platform. You will choose your username and password when registering for access. You shall maintain your username and password and security questions and answers in strict confidence. In no event shall you share your username or password or security questions and answers with any third party or allow another person to access Onduo Platform using your username and password or security questions and answers. You shall immediately notify Onduo if you have any reason to believe that your username, password or security questions and answers has been lost or compromised or misused in any way. You are fully and solely responsible for any and all use of Onduo Platform under your username and password.

NON-DISCLOSURE AND CONFIDENTIALITY

In using Onduo Platform, you will have access to confidential information of Onduo and third parties ("Confidential Information") that may include software, codes, technology, logic, techniques, formats, tools, designs, concepts, methods, processes, ideas, functional specifications, technical materials and information, and related documentation.

During the term of this Agreement and thereafter, you agree not to disclose any Confidential Information to any third party except as permitted by this Agreement and by applicable law. Without limiting the foregoing, you agree to undertake all reasonable measures to ensure the privacy and security of all Confidential Information including without limitation: (i) not to access or use any Confidential Information that you have no legitimate authorization to access or use; (ii) not to access Onduo Platform or any Confidential Information for any other individual or any unauthorized third party. You acknowledge and agree that all obligations relating to Confidential Information under this Agreement will continue after termination of this Agreement and termination of access rights hereunder.

TERM; TERMINATION

Onduo may terminate this Agreement and/or terminate or suspend your access to the Onduo Platform at any time and for any reason. Onduo has the right to refuse to provide access to Onduo Platform to any person, agency or organization, or to prohibit any person, agency or organization from using Onduo Platform, at any time and for any reason. Onduo reserves the right to change, suspend, or discontinue all or part of Onduo Platform, temporarily or permanently, without prior notice. We reserve the right to deactivate any account at any time, for any reason.

Definitions

As used in these Terms, the words "we" and "us" refer to Onduo. "You" refers to any individual who is accessing or using Onduo Platform. Certain provisions contained in these Terms may be inapplicable to you depending upon your user status. "Onduo Platform account" refers to a Registered User's web record which contains personal and medical information and which is accessible online through Onduo Platform. Capitalized words used but not otherwise defined in these Terms have the following meanings:

Registered User: An individual user who has registered for an Onduo Platform account.

Enrolled User: A Registered User who has been invited by and who has accepted an invitation to join a Participating Provider's Onduo Platform community, through which the user may take advantage of any interactive features offered by such Participating Provider online in addition to Onduo's features.

Participating Provider: Onduo Professionals, P.C., certain other Onduo affiliated professional entities, any physician, physician practice, hospital, hospital system, or other clinical care provider who contracts to utilize the Onduo Platform

Authorized User: A Registered User explicitly authorized by another Registered User to access the latter's Onduo Platform account, where the type and extent of access allowed is determined by the authorizing Registered User.

Authorized Provider: With respect to a Registered User, a Participating Provider explicitly authorized by such Registered User to access the user's Onduo Platform account and interact with the user virtually.

Period of Use; Effects of Termination

The duration of these Terms shall begin on the date you accept these Terms and end when you deactivate your account ("Period of Use"). Notwithstanding the foregoing, your use of Onduo Platform shall be immediately terminated upon our written notice to you in the event that you breach any of these Terms. In the event of termination for any reason whatsoever, your rights to access Onduo Platform will immediately terminate. Your Onduo Platform account will be deactivated and any stored information, entered or accepted by you into your Onduo Platform account will be deleted. Upon deactivation of your account, you will no longer be able to view or retrieve such information. Furthermore, upon deactivation of your account, you will no longer have access through Onduo Platform to any copies of original medical records that may have been provided online by a Participating Provider. Please note, however, that information you enter or accept into your Onduo Platform account is backed-up and saved on a server and as such, information that has been deleted from an Onduo Platform account may still be available through one of those servers. You acknowledge and agree that the original components of your medical records shall at all times remain the property of the health care provider that created them. If you need a copy of your medical records, you should contact that health care provider directly.

User Representations and Obligations

You represent and warrant that:

1. i. you understand Onduo Platform and how it works;
2. you have read and understand and accept these Terms, which include the Onduo Platform Disclaimer, Onduo Platform Privacy Policy, and Onduo Platform Intellectual Property Notice;
3. you are at least 18 years of age and have the right to enter into these Terms and to use Onduo Platform as described herein; and
4. your use of Onduo Platform and your providing information to Participating Providers will not infringe upon any third party's proprietary or personal rights

You also agree:

1. to use Onduo Platform for personal and family health and wellness reasons only;
2. that you are responsible for posting true, accurate and complete personal health information, and if you have identified Authorized Users, for ensuring that your Authorized Users post such information and records to your Onduo Platform account and that you will not hold us or any of the other Onduo entities or our/their staff responsible for any untrue, inaccurate, outdated or incomplete information about your in your Onduo Platform account;
3. to provide us, your Authorized Providers, and our Third Party Service Providers, with such information and materials, and access to your Onduo Platform account, as we/they may reasonably require to provide you with Onduo Platform services;
4. to receive phone calls and texts from Onduo related to the provision of care to you.

Authorization to share information.

Moreover, you hereby authorize us and your Authorized Providers to access and share your personal and health information with others when necessary to fulfill our/their obligations to you as our/their patient and/or to assist you in getting the care or services you request.

YOU FURTHER ACKNOWLEDGE AND AGREE THAT PARTICIPATING PROVIDERS HAVE NO LEGAL OBLIGATION TO TRANSMIT YOUR MEDICAL INFORMATION TO OTHER HOSPITALS OR DOCTORS OR STAFF OR TO POST SUCH INFORMATION IN YOUR ONDUO PLATFORM ACCOUNT. YOU SHOULD MAINTAIN THE ORIGINAL VERSION OF ANY CORRESPONDENCE FROM YOUR HEALTH CARE PROVIDERS AND IF YOU WISH, UPLOAD A COPY OF THE SAME TO YOUR ONDUO PLATFORM ACCOUNT.

Indemnification by User

You agree to defend, release, indemnify, and hold harmless us, the other Onduo entities, all Participating Providers, and their respective partners, members, trustees, directors, officers, directors, staff members, employees, affiliated companies and licensors ("Indemnitees"), harmless from all liabilities, claims and expenses, including without limitation, reasonable attorney fees, that (i) arise from a breach by you of these Terms or the terms and conditions for any Indemnitee platform (ii) arise from your use of any Indemnitee platform or relate in any way directly or indirectly to any Indemnitee platform, or (iii) arise in connection with the posting or transmission of any content by or through your Onduo Platform account or any violation by you of any laws, regulations or rights of another. You agree that each Indemnitee has the right, but not the obligation, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you pursuant to this provision.

Access to Onduo Platform; Fees; Modifications and Cancellation of Service

Access to Onduo Platform

You shall have a non-exclusive, non-transferable right to access and use Onduo Platform features during the Period of Use subject to these Terms. You may not access or use Onduo Platform if you are located or reside anywhere where access or use is prohibited by law, decree, regulation, treaty or administrative act. Access to certain features available through Onduo Platform may depend on your status as a Registered versus Enrolled User.

Fees

You do not owe any separate fees for access and use of Onduo, but you are responsible for paying any other third party charges associated with accessing the Onduo Platform, including but not limited to Internet service provider fees.

Our right to modify, suspend or cancel Onduo Platform services

You acknowledge and agree that we may at any time and from time to time modify, suspend or discontinue, temporarily or permanently, Onduo Platform features or functionalities (or any part thereof) to the extent that such modification, suspension or discontinuance is necessary to reflect or accommodate a change necessitated by unforeseen circumstances that may arise after the date hereof, regulatory changes or a change imposed or required by a Third Party Service Provider. You agree that no Onduo entity shall be liable to you or to any third party for any such modification, suspension, or discontinuance.

Onduo Platform for Personal Use Only

You may access Onduo Platform and use Onduo Platform features for your personal, non-commercial use only. You may not reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes the use of or access to any portion of Onduo Platform features or content available hereunder.

Inbound Links Not Permitted

You may not under any circumstances establish any links to Onduo Platform without our prior and explicit written permission.

Participating Health Care Providers; Third Party Service

Providers

Participating Providers; Enrollment Codes.

If you are a patient who has received or is receiving treatment by a Participating Provider, then you may be invited to "enroll" or join its online patient community through Onduo Platform. You will receive from such Participating Provider an email invitation information. Your email invitation and the related information are uniquely linked to you and your medical record (if made available online by a Participating Provider). This email invitation and related information should not be shared with others.

Accepting this invitation with your enrollment code via the link supplied to you in your email invitation will then give you continuing access as an Enrolled User to certain specialized Onduo Platform services and may give you online access to parts of your medical record. You understand that each Participating Provider may have its own terms and conditions separate from and in addition to these Terms. Prior to permitting a Registered User to become an Enrolled User, a Participating Provider may require certain consents, acknowledgements, commitments, representations and agreements from the user either at the time the user accepts an enrollment invitation or before the user accesses certain services provided by the Participating Provider. A Registered User may not have access to these services until such consents and acknowledgements have been obtained.

Please be advised that we reserve the right to terminate or change the terms of a relationship with any Participating Provider at any time due to a change necessitated by unforeseen circumstances that may arise after the date hereof, regulatory changes or changes imposed or required by one or more of our Third Party Service Provider.

Third Party Service Providers.

In order to provide Onduo Platform features, we have contracted with a number of third party service providers ("Third Party Service Providers") for services and health care information content. You understand that one or more of our Third Party Service Providers may obligate us to require certain commitments and representations from you to use the Third Party Service Provider's services and/or content, that we may be required to obtain and deliver your agreement to certain terms of use of the Third Party Service Provider's content and services, and that until such agreement(s) have been entered into, you may not be permitted to access or use such third party content or services. If you are unwilling to comply or cannot comply with such provider's then-current requirements, you should not access or use such content or services.

We reserve the right to change the terms of any Third Party Service Provider relationship or terminate your access to such services and/or content at any time upon notice to you due to a change necessitated by unforeseen circumstances that may arise after the date hereof, regulatory changes or changes imposed or required by the Third Party Service Provider.

Third Party Service Providers; Additional Terms.

Your use of certain components of the Onduo Platform, which may include the smartphone application and/or web-based coach console hosted by Verily Life Sciences LLC (“Verily”), provided by Onduo in conjunction with the Onduo Platform, is subject to the terms and conditions set forth at https://verily.com/terms/, which Onduo does not have authority to vary, alter or amend. To the extent permitted by law and subject to agreements between Verily and Onduo, Verily will have no liability arising out of or relating to the Onduo Terms of Use. Notwithstanding the foregoing, Verily is an intended third party beneficiary of the Onduo Terms of Use, and you hereby grant to Verily the right to verify compliance with and enforce the provisions of such Terms of Use.

To the extent that your use of the Onduo Platform includes data received or otherwise generated from any Dexcom, Inc. ("Dexcom") continuous glucose monitoring (CGM) device (collectively, "Dexcom CGM Data"), you acknowledge and agree that such Dexcom CGM Data is provided by Dexcom without any warranty or other terms that contradict, expand or differ from the express warranties and terms published or otherwise made available by Dexcom. Further, with regard to any references to the Dexcom name, logo or other wording provided or made available by Dexcom (collectively, "Dexcom Logo"), you acknowledge and agree that (i) the Dexcom Logo does not mean Dexcom has developed, validated, approved or endorsed the Onduo Platform or any individual features, functionalities or use cases thereof, and (ii) Dexcom shall have no liability for any use of the Onduo Platform, or for any marketing, promotion, sale, licensing, distribution or other commercialization of the Onduo Platform in violation of the agreements by which Dexcom CGM Data is made available through the Onduo Platform. For additional information, please refer to the materials included with your Dexcom CGM device.

Limitation of Liability

USER ACKNOWLEDGES AND AGREES THAT NO PARTNERS ENTITY WILL BE RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, MONETARY OR EXEMPLARY DAMAGES, INCLUDING FEES, OR PENALTIES, LOSSES OR LIABILITIES OF ANY KIND (INCLUDING SPECIFICALLY PERSONAL INJURY) RESULTING FROM OR IN CONNECTION WITH:

A. YOUR USE OF ONDUO PLATFORM OR ANY MATERIALS POSTED ON IT;

B. YOUR CONNECTIVITY TO ONDUO PLATFORM FROM ANY OTHER SITE OR FROM ONDUO PLATFORM TO ANY OTHER SITE;

C. ANY ACT (OR FAILURES TO ACT) BY A PARTNERS ENTITY, OR A PARTICIPATING PROVIDER OR THIRD PARTY SERVICE PROVIDER, AND/OR ANY OF THEIR RESPECTIVE EMPLOYEES AND/OR AGENTS, INCLUDING, BUT NOT LIMITED TO:

1. LOSS OF DATA, SOFTWARE OR HARDWARE;

2. LOSS OR LIABILITY RESULTING FROM ACCESS DELAYS OR ACCESS INTERRUPTIONS;

3. LOSS OR LIABILITY RESULTING FROM COMPUTER VIRUSES;

4. LOSS OR LIABILITY RESULTING FROM DATA NON-DELIVERY OR DATA MISDELIVERY;

5. ANY OTHER LOSS OR LIABILITY RESULTING FROM THE NEGLIGENT AND INTENTIONAL ACTS AND/OR OMISSIONS OF A PARTNERS ENTITY, ANY PARTICIPATING PROVIDER OR THIRD PARTY SERVICE PROVIDER;

6. LOSS AND LIABILITY RESULTING FROM ANY ERRORS, OMISSIONS, OR MISSTATEMENTS IN ANY AND ALL INFORMATION OR SERVICES OBTAINED ON OR THROUGH ONDUO PLATFORM;

7. LOSS OR LIABILITY RESULTING FROM PARTIAL OR TOTAL LOSS OF ONDUO PLATFORM FEATURES;

8. LOSS OR LIABILITY OF ANY KIND OR NATURE WHATSOEVER IN ANYWAY RELATED TO TELEPHONE COMPANY OR LINE CHARGES;

9. PERSONAL INJURY, EMOTIONAL INJURY, AND/OR CONSEQUENTIAL DAMAGES; AND,

10. LOSS OR LIABILITY RESULTING FROM ACTS OF GOD.

SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Disclaimer of Warranties

IT IS YOUR RESPONSIBILITY SOLELY AND EXCLUSIVELY TO DETERMINE THE SUITABILITY OF ONDUO PLATFORM FEATURES PROVIDED HEREUNDER FOR YOUR INTENDED PURPOSES AND USES. YOU ACKNOWLEDGE AND AGREE THAT ONDUO PLATFORM FEATURES ARE PROVIDED ON AN "AS IS", "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND EXPRESSED OR IMPLIED.

ONDUO GIVES AND MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESSED, IMPLIED OR STATUTORY, WITH RESPECT TO ONDUO PLATFORM OR THE RESULTS OBTAINED FROM ONDUO PLATFORM OTHER THAN THAT EXPRESSLY SET FORTH HEREIN. NO REPRESENTATION OR WARRANTY IS MADE THAT (I) ONDUO PLATFORM WILL MEET THE YOUR NEEDS, (II) ACCESS TO ONDUO PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE, (III) RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE ONDUO PLATFORM SHALL BE RELIABLE OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL OBTAINED THROUGH ONDUO PLATFORM WILL MEET YOUR EXPECTATIONS.

NO REPRESENTATIVE OF ONDUO OR PARTNERS IS AUTHORIZED TO GIVE OR MAKE ANY OTHER REPRESENTATION OR WARRANTY OR MODIFY THIS WARRANTY IN ANY WAY. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ONDUO AND PARTNERS EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT, AS WELL AS ALL WARRANTIES ARISING BY USAGE OF TRADE, COURSE OF DEALING OR COURSE OF PERFORMANCE.

SOME JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OF CERTAIN WARRANTIES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

We do not assume any duty to correct or update Onduo Platform or to resolve or clarify any inconsistent information that might be a part of Onduo Platform. We disclaim any warranty concerning such information's accuracy, timeliness, and completeness, and any other warranty, express or implied, including warranties of merchantability or fitness for a particular purpose. We also do not warrant that access to the site will be error- or virus-free and do not guarantee against unauthorized users or hackers attempting to obtain access to the Onduo Platform. No Onduo entity shall be liable for any losses or damages related to the same. If you find these materials offensive or objectionable, do not use the Onduo Platform.

Your Authorized Providers may not necessarily see or read the personal notations or other information you input into your Onduo Platform account. We give and make no representation or warranty that a note you make will be reviewed by the Authorized Providers for whom you intended the note or by any Authorized Provider for that matter.

Miscellaneous

These Terms, including the Onduo Platform Disclaimer, Onduo Platform Privacy Policy, and Onduo Platform Intellectual Property Notice, constitute the full and complete understanding of the parties with respect to the subject matter thereof and supersede all prior understandings and agreements on such subject matter. Any notices, waivers and other communications required or permitted hereunder must be given in writing to the other party at the address indicated in these Terms, and shall be deemed given immediately upon delivery to the addressee. In the event of a conflict between these Terms and the Onduo Platform Disclaimer, Onduo Platform Privacy Policy, and Onduo Platform Intellectual Property Notice, these Terms shall control. These Terms, including the Onduo Platform Disclaimer, Onduo Platform Privacy Policy, and Onduo Platform Intellectual Property Notice, and any dispute arising hereunder, and your use of or reliance on Onduo Platform will be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts without regard to its conflicts of law principles. You agree to be bound and shall be subject to the exclusive jurisdiction of the local, state and federal courts located in Suffolk County, Massachusetts.

Onduo Platform Intellectual Property Notice

Onduo Platform, its features and content are owned by Onduo, for itself or on behalf of its affiliates, and/or its Third Party Service Provider and are protected by U.S. and international copyright and other intellectual property laws. Onduo and its Third Party Service Provider shall retain title, ownership rights and all intellectual property rights in and to Onduo Platform features and any and all software, documentation, intellectual property or other proprietary information or materials used or delivered in connection with the Onduo Platform service. Unless otherwise stated, you may print or download information from the Onduo Platform for personal, non-commercial use only, provided:

• you do not modify any documents or their related graphics in any way;
• you do not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text; and
• you include an acknowledgement alongside the copied material noting the source of the material and include the statement "the materials are protected by copyright law."

Reprinting or otherwise reproducing any document in whole or in part is prohibited, unless prior written consent is obtained from the copyright owner. Nothing in these Terms shall be interpreted to mean that you have rights to repackage, sell, resell, post on blogs or on any other platform, republish, reproduce, link or frame or store any material without our permission.

You acknowledge and agree that we shall have the right in its sole discretion to refuse to accept or to remove any content provided by you in connection with Onduo Platform features if doing so would violate these Terms or would be otherwise objectionable in our sole and absolute discretion. You acknowledge and agree that the original components of your medical record shall at all times remain the property of the health care provider that created them. You should contact your health care provider directly for copies of such records.

These Terms do not grant you any right, title, license or interest in or to any software or documentation, or in any related patents, copyrights, trademarks, trade secrets or other intellectual property of any kind, of Onduo, Onduo, or their affiliates or the Participating Providers. You shall not acquire any rights of any kind in or to any trademark, service mark, trade name, logo or product or service designation (whether or not registered) under which Onduo, Onduo, their affiliates and the Participating Providers market their products or services and you shall not use the same for any reason.

All copyrightable text, graphics, design, selection and arrangement of information in this platform are copyrighted by Onduo unless otherwise noted. You may not edit or alter any material on this platform.

You acknowledge that Onduo LLC may terminate or suspend your right to use this platform if you breach, or if Onduo LLC has reasonable grounds to suspect that you have breached the provisions of these Terms of Use.

Our trademarks

“Onduo” and “Onduo Onward Together” are trademarks of Onduo LLC and are registered as such in the United States and in other countries. Onduo LLC protects its marks and logos in all countries in which it uses them.

You may not frame or use framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout or form) of Onduo LLC without our express written consent. You may not use any meta tags or any other hidden text utilizing our trademarks without our express written consent.

Information for Reporting Claims of Copyright Infringement

Onduo reserves the right to remove any uploaded content, at any time, for any reason. Onduo otherwise complies with the provisions of the Digital Millennium Copyright Act (“DMCA”) applicable to internet service providers (17 U.S.C. § 512, as amended), and responds to clear notices of alleged copyright infringement. This section describes the procedure that should be followed to file a notification of alleged copyright infringement with Onduo, and to file a counter-notification regarding material that has been removed or disabled in response to a notification of alleged copyright infringement.

If Onduo takes measures to remove or disable content, we will make a good-faith attempt to contact the user who uploaded the content so that he or she may make a counter-notification pursuant to sections pursuant to 17 U.S.C. § 512(g). It is our policy to document all notifications of alleged infringement on which we act. As with all legal notices, a copy of the notification may be sent to one or more third parties who may make it available to the public. Please be advised that it is Onduo’s policy to terminate the accounts of users that repeatedly violate these Terms of Use and/or the DMCA Policy.

Notification of Claimed Copyright Infringement

If you have objections to copyrighted material posted on any platform owned by Onduo, you may submit a notification to our Designated Agent at the following address:

Any notification to Onduo under 17 U.S.C. § 512(c) alleging copyright infringement must include the following information:

(a) an electronic or physical signature of the person authorized to act on behalf of the owner of the exclusive right being infringed;

(b) an identification of the copyrighted work or other intellectual property that you claim has been infringed or, if multiple copyrighted works are covered by a single notification, a representative list of such works; b

(c) an identification of the material that you claim is infringing and where it is located on the Onduo Platform;

(d) information sufficient for Onduo to contact you, such as your address, telephone number, and/or email address;

(e) a statement by you that you have a good faith belief that the use of the materials of which you are complaining is not authorized by the copyright owner, its agent, or the law; and

(f) a signed statement by you that the above information in your notice is accurate and that, under penalty of perjury, you are the copyright owner or authorized to act on the copyright owner’s behalf.

Counter-Notifications

If you are a user and material that you have posted to our platform has been removed or disabled, you may file a counter-notification pursuant to 17 U.S.C. § 512(g). To be effective, the counter-notification must be a written communication sent to the Designated Agent address listed above that includes the following:

(a) your physical or electronic signature;

(b) identification of the material that has been removed or to which access has been disabled, and the location at which the material appeared before it was removed or access to it was disabled;

(c) a statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled; and

(d) your name, address, and telephone number, and a statement that you consent to the jurisdiction of Federal District Court for the judicial district in which the address is located or, if your address is outside of the United States, for any judicial district in which Onduo may be found, and that you will accept service of process from the person who provided notification under subsection 17 U.S.C. § 512(c)(1)(C)Notifications of copyright infringement claims occurring on Onduo Platform should be reported to the designated agent at the address provided above.

Renuncia de Responsabilidad de la Plataforma de Onduo

NO SE FÍE DE LAS COMUNICACIONES ELECTRÓNICAS NI LAS COMUNICACIONES A TRAVÉS DE LA PLATAFORMA DE ONDUO PARA SATISFACER NECESIDADES MÉDICAS URGENTES INMEDIATAS. Onduo no ejerce la medicina ni brinda servicios médicos. La Plataforma de Onduo permite que ciertos proveedores de salud afiliados, incluido Onduo Professionals, P.C., y otros proveedores y organizaciones profesionales afiliados utilicen funciones de comunicación, como herramientas de visita virtual y mensajería clínica, con las que se podría, en circunstancias adecuadas, establecer una relación médico-paciente entre usted y un proveedor de atención médica externo independiente. Cualquier contenido o herramienta en la plataforma, como texto, datos, ilustraciones, elementos gráficos, animaciones, fotos, imágenes y otros materiales, se proporciona solo para fines educativos y de referencia. No se deben usar estos recursos para hacer diagnósticos ni para reemplazar o anular la opinión de un proveedor de atención médica calificado. Onduo creó y mantiene la Plataforma de Onduo para brindar información general sobre Onduo y proporcionar asistencia a las personas para que obtengan información general sobre salud y servicios de atención médica. Términos y Condiciones de Uso de la Plataforma de Onduo

Estos Términos y Condiciones, incluidos, sin limitaciones, la Renuncia de Responsabilidad de la Plataforma de Onduo, la Política de Privacidad de la Plataforma de Onduo y el Aviso de Propiedad Intelectual de la Plataforma de Onduo (las “Condiciones”), detallan sus privilegios, derechos y obligaciones relativos a su uso de la Plataforma de Onduo. Desinstalar la aplicación no implica la desactivación de la cuenta ni la eliminación de su información. SE CONSIDERARÁ QUE HA ACEPTADO (SIN NINGUNA SOLICITUD DE MODIFICACIÓN) LA TOTALIDAD DE LOS TÉRMINOS, CONDICIONES, POLÍTICAS Y AVISOS RELACIONADOS CON ESTAS CONDICIONES CUANDO ACCEDA A LA PLATAFORMA DE ONDUO.

ACCESO A LA PLATAFORMA

A través del presente documento y sujeto a las condiciones contenidas aquí, Onduo le otorga una licencia limitada para acceder a la Plataforma de Onduo. Acepta que solo usará la Plataforma de Onduo de acuerdo con las Condiciones de Uso y la ley aplicable, además de las reglas, las políticas y los procedimientos que establece Onduo con respecto a su uso de la Plataforma de Onduo. No está permitido compartir, transferir ni sublicenciar esta licencia con ningún tercero. Acepta que usa y seguirá usando las protecciones técnicas apropiadas a fin de proteger los dispositivos que usa para acceder a la Plataforma de Onduo, como antivirus actualizados en PCs, smartphones y tablets. Manifiesta y garantiza que toda la información proporcionada a Onduo en relación con este acuerdo, incluido el proceso de registro en la Plataforma de Onduo, es verdadera, exacta y completa. Es responsable de la instalación y el mantenimiento de todos los equipos y sistemas necesarios para acceder a la Plataforma de Onduo, así como de pagar todos los cargos asociados a ella.

Entiende que la información que envía o recibe a través de la Plataforma de Onduo puede incluirse en una historia clínica que genera Onduo Professionals, P.C., o bien otros proveedores y entidades profesionales afiliados, pero podría no incluirse automáticamente en sus historias clínicas independientes que manejan médicos clínicos que no forman parte de la plataforma, a menos que usted solicite dichos registros y se los proporcione.

SEGURIDAD Y CONTRASEÑAS

El acceso a la Plataforma de Onduo está regulado mediante nombres de usuario y contraseñas, preguntas y respuestas de seguridad, y medidas de seguridad adicionales que puede implementar ocasionalmente la Plataforma de Onduo. Cuando se registre para obtener acceso, podrá elegir su nombre de usuario y contraseña. Conserve el nombre de usuario, la contraseña y las preguntas y respuestas de seguridad de forma estrictamente confidencial. Bajo ningún motivo comparta su nombre de usuario, contraseña o preguntas y respuestas de seguridad con ningún tercero ni permita que otra persona acceda a la Plataforma de Onduo con su nombre de usuario, contraseña o preguntas y respuestas de seguridad. Debe notificar de inmediato a Onduo si cree haber perdido el nombre de usuario, la contraseña o las preguntas y respuestas de seguridad, o bien si tiene motivos para pensar que se usaron de forma inadecuada o que la confidencialidad de estos datos está comprometida. Asume la plena y exclusiva responsabilidad de cualquier uso de la Plataforma de Onduo con su nombre de usuario y contraseña.

CONFIDENCIALIDAD Y NO DIVULGACIÓN

Cuando use la Plataforma de Onduo, tendrá acceso a información confidencial de Onduo y de terceros (“Información Confidencial”), que puede incluir software, códigos, tecnología, lógica, técnicas, formatos, herramientas, diseños, conceptos, métodos, procesos, ideas, especificaciones funcionales, información y materiales técnicos, y documentación relacionada.

Durante la vigencia de este Acuerdo y posteriormente, acepta no divulgar ningún tipo de Información Confidencial a ningún tercero, salvo que lo permita este Acuerdo y la ley aplicable. Sin perjuicio de lo anterior, acepta tomar todas las medidas razonables para garantizar la privacidad y seguridad de toda la Información Confidencial, incluidas, sin limitaciones: (I) no usar ningún tipo de Información Confidencial, ni acceder a ella, si no tiene autorización legítima para hacerlo; (II) no acceder a la Plataforma de Onduo ni a ningún tipo de Información Confidencial por ninguna otra persona ni ningún tercero no autorizado. Reconoce y acepta que todas las obligaciones relacionadas con la Información Confidencial en virtud de este Acuerdo se mantendrán después de la rescisión de este Acuerdo y el término de los derechos de acceso mencionados en el presente documento.

PLAZO Y RESCISIÓN

Onduo puede rescindir este Acuerdo, así como finalizar o suspender su acceso a la Plataforma de Onduo, en cualquier momento y por cualquier motivo. Onduo tiene derecho a negarle el acceso a la Plataforma de Onduo a cualquier persona, organización o agencia, así como a prohibir que cualquier persona, organización o agencia use la Plataforma de Onduo, en cualquier momento y por cualquier motivo. Onduo se reserva el derecho a cambiar, suspender o descontinuar la totalidad o una parte de la Plataforma de Onduo de forma temporal o permanente y sin aviso previo. Nos reservamos el derecho a desactivar cualquier cuenta en cualquier momento y por cualquier motivo.

Definiciones

Tal y como se usan en estas Condiciones, las palabras “nosotros” y “nuestro” hacen referencia a Onduo. “Usted” hace referencia a cualquier persona que use la Plataforma de Onduo o acceda a ella. Ciertas disposiciones contenidas en estas Condiciones pueden no ser aplicables a usted según su estado de usuario. “Cuenta de la Plataforma de Onduo” hace referencia al registro web del Usuario Registrado, que contiene información personal y médica y al que se puede acceder en línea a través de la Plataforma de Onduo. Las palabras en mayúsculas usadas, pero no definidas de otro modo, en estas Condiciones tienen los siguientes significados:

Usuario Registrado: Usuario individual registrado con una cuenta de la Plataforma de Onduo.

Usuario Inscrito: Usuario Registrado que aceptó una invitación para unirse a la comunidad de la Plataforma de Onduo de un Proveedor Participante, lo cual le permite aprovechar funciones interactivas que ofrece dicho Proveedor Participante en línea, además de las funciones de Onduo.

Proveedor Participante: Onduo Professionals, P.C., algunas entidades profesionales afiliadas a Onduo, cualquier médico, consultorio médico, hospital, sistema hospitalario o proveedor de atención clínica que tenga un contrato de uso de la Plataforma de Onduo.

Usuario Autorizado: Usuario Registrado explícitamente autorizado por otro Usuario Registrado para acceder a la cuenta de la Plataforma de Onduo de este último. El Usuario Registrado que otorga la autorización determinará el tipo y la extensión de acceso permitidos.

Proveedor Autorizado: Con respecto a un Usuario Registrado, corresponde a un Proveedor Participante explícitamente autorizado por dicho Usuario Registrado para acceder a la cuenta de la Plataforma de Onduo del usuario e interactuar con él de forma virtual.

Período de Uso y Efectos de la Rescisión

La duración de estas Condiciones comenzará en la fecha en la que aceptó estas Condiciones y finalizará cuando desactive su cuenta (“Período de Uso”). Sin perjuicio de lo anterior, su uso de la Plataforma de Onduo finalizará inmediatamente después de recibir un aviso por escrito en caso de que incumpla alguna de estas Condiciones. En caso de que ocurra una rescisión por cualquier motivo, se revocarán sus derechos a acceder a la Plataforma de Onduo de forma inmediata. Se desactivará su cuenta de la Plataforma de Onduo y se borrará cualquier información que haya ingresado o aceptado en su cuenta de la Plataforma de Onduo. Luego de la desactivación de su cuenta, ya no podrá ver ni recuperar la información. Tampoco tendrá acceso mediante la Plataforma de Onduo a ninguna copia de las historias clínicas originales que pueda haber proporcionado en línea un Proveedor Participante. No obstante, tenga en cuenta que se respalda y guarda en un servidor la información que ingresa o acepta en su cuenta de la Plataforma de Onduo, por lo tanto, la información borrada de la cuenta de la Plataforma de Onduo podría seguir estando disponible en dicho servidor. Reconoce y acepta que los componentes originales de sus historias clínicas serán, en todo momento, propiedad del proveedor de atención médica que los creó. Si necesita una copia de sus historias clínicas, debe comunicarse directamente con el proveedor de atención médica.

Obligaciones y Declaraciones del Usuario

Manifiesta y garantiza lo siguiente:

1. entiende qué es la Plataforma de Onduo y cómo funciona;
2. ha leído y entiende y acepta estas Condiciones, que incluyen la Renuncia de Responsabilidad de la Plataforma de Onduo, la Política de Privacidad de la Plataforma de Onduo y el Aviso de Propiedad Intelectual de la Plataforma de Onduo;
3. tiene al menos 18 años de edad y tiene el derecho a aceptar estas Condiciones y usar la Plataforma de Onduo como se describe en este documento; y
4. su uso de la Plataforma de Onduo y la información que proporciona a Proveedores Participantes no infringirán los derechos personales o de propiedad de ningún tercero.

También acepta lo siguiente:

1. usar la Plataforma de Onduo solo para fines de salud y bienestar personales y familiares;
2. ser responsable de publicar información personal verdadera, exacta y completa sobre su salud, y si identificó Usuarios Autorizados, garantizar que sus Usuarios Autorizados publiquen la información y los registros correspondientes en su cuenta de la Plataforma de Onduo. Además, no nos hará responsables, ni a nosotros ni a ninguna de las demás entidades de Onduo ni al personal nuestro o de ellos, por ningún tipo de información falsa, inexacta, desactualizada o incompleta sobre usted en su cuenta de la Plataforma de Onduo;
3. proporcionarnos a nosotros, sus Proveedores Autorizados y a nuestros Proveedores de Servicios Externos la información y los materiales correspondientes y acceso a su cuenta de la Plataforma de Onduo si nosotros o ellos lo solicitamos de forma razonable para brindarle los servicios de la Plataforma de Onduo;
4. recibir llamadas y mensajes telefónicos de Onduo relacionados con la prestación de atención médica.

Autorización para compartir información.

Además, a través del presente documento, nos autoriza a nosotros y a sus Proveedores Autorizados a acceder a su información personal y de salud y compartirla con otros cuando sea necesario para cumplir con las obligaciones que tenemos con usted como paciente o brindarle asistencia a fin de que reciba los cuidados o servicios que solicitó.

TAMBIÉN RECONOCE Y ACEPTA QUE LOS PROVEEDORES PARTICIPANTES NO TIENEN NINGUNA OBLIGACIÓN LEGAL DE TRANSMITIR SU INFORMACIÓN MÉDICA A OTROS HOSPITALES, MÉDICOS O MIEMBROS DE PERSONAL, NI DE PUBLICAR DICHA INFORMACIÓN EN SU CUENTA DE LA PLATAFORMA DE ONDUO. LE RECOMENDAMOS GUARDAR LA VERSIÓN ORIGINAL DE CUALQUIER CORRESPONDENCIA DE SUS PROVEEDORES DE ATENCIÓN MÉDICA Y, SI LO DESEA, SUBIR UNA COPIA DE ELLA A SU CUENTA DE LA PLATAFORMA DE ONDUO.

Indemnización por parte del usuario

Acepta defendernos, indemnizarnos y eximirnos a nosotros, las demás entidades de Onduo, todos los Proveedores Participantes y sus respectivos socios, miembros, administradores, directores, oficiales, miembros de personal, empleados, empresas afiliadas y proveedores de licencias (“Indemnizados”) de cualquier responsabilidad, reclamo y gasto, lo que incluye, sin limitarse a ello, los honorarios legales razonables que surjan (I) de su incumplimiento de estas Condiciones o de los Términos y Condiciones de la plataforma de cualquier Indemnizado, (II) de su uso de la plataforma de cualquier Indemnizado o se relacionen de cualquier forma, directa o indirectamente, con la plataforma de cualquier Indemnizado o (III) en relación con la publicación o transmisión de cualquier contenido en su cuenta de la Plataforma de Onduo o con cualquier infracción que haya cometido de cualquier ley, regulación o derechos de un tercero. Acepta que cada Indemnizado tiene el derecho, pero no la obligación, de asumir por su cuenta la defensa y el control exclusivos de cualquier asunto que, de otro modo, estaría sujeto a indemnización de su parte en virtud de esta disposición.

Acceso a la Plataforma de Onduo, Tarifas, Modificaciones y Cancelación del Servicio

Acceso a la Plataforma de Onduo

Tendrá un derecho intransferible no exclusivo para usar las funciones de la Plataforma de Onduo durante el Período de Uso, sujeto a estas Condiciones. Es posible que no pueda usar la Plataforma de Onduo si se ubica o reside en un lugar en el que esté prohibido por ley, decreto, regulación, tratado o disposición administrativa. El acceso a ciertas funciones disponibles mediante la Plataforma de Onduo puede depender de si es un Usuario Registrado o un Usuario Inscrito.

Tarifas

No debe pagar ninguna tarifa adicional por el acceso y uso de Onduo, pero es responsable de pagar los cargos de terceros asociados con el acceso a la Plataforma de Onduo, incluidas, sin limitaciones, las tarifas del proveedor de servicios de Internet.

Nuestro derecho a modificar, suspender o cancelar los servicios de la Plataforma de Onduo

Reconoce y acepta que podríamos, en cualquier momento y ocasionalmente, modificar, suspender o descontinuar de forma temporal o permanente las funciones o funcionalidades de la Plataforma de Onduo (o cualquier parte de ellas) en la medida en que dicha modificación, suspensión o descontinuación sea necesaria para reflejar o acomodar un cambio requerido bajo circunstancias impredecibles ocurridas después de la fecha estipulada, cambios regulatorios o un cambio impuesto o requerido por un Proveedor de Servicios Externo. Acepta que ninguna entidad de Onduo será responsable ante usted ni ningún tercero por dicha modificación, suspensión o descontinuación.

Plataforma de Onduo Solo para Uso Personal

Solo podrá acceder a la Plataforma de Onduo y usar las funciones de la Plataforma de Onduo para su uso personal no comercial. No puede reproducir, duplicar, copiar, vender, comerciar, revender ni explotar para ningún fin comercial el uso de cualquier porción de las funciones de la Plataforma de Onduo, ni el acceso a ellas, así como tampoco el contenido disponible aquí.

Vínculos Entrantes No Permitidos

Bajo ninguna circunstancia puede establecer ningún vínculo a la Plataforma de Onduo sin una autorización expresa previa por escrito.

Proveedores de Atención Médica Participantes y Proveedores de Servicio

Externos

Proveedores Participantes y Códigos de Inscripción.

Si es un paciente que recibió o está recibiendo tratamiento de un Proveedor Participante, es posible que haya recibido una invitación para “inscribirse” o unirse a su comunidad de pacientes en línea a través de la Plataforma de Onduo. Recibirá de dicho Proveedor Participante un correo electrónico con información sobre la invitación. La invitación por correo electrónico y la información relacionada están vinculadas únicamente a usted y a su historia clínica (si un Proveedor Participante la puso a disposición en línea). La invitación por correo electrónico y la información relacionada no deben compartirse con terceros.

Si acepta esta invitación con su código de inscripción a través del vínculo incluido en la invitación por correo electrónico, obtendrá acceso continuo de Usuario Inscrito a determinados servicios especializados de la Plataforma de Onduo y podría obtener acceso en línea a partes de su historia clínica. Entiende que cada Proveedor Participante puede tener sus propios Términos y Condiciones independientes o adicionales a estas Condiciones. Antes de permitir que un Usuario Registrado se convierta en Usuario Inscrito, es posible que el Proveedor Participante le solicite al usuario ciertos consentimientos, confirmaciones, compromisos, representaciones y acuerdos cuando el usuario acepte la invitación a inscribirse o antes de que acceda a ciertos servicios proporcionados por el Proveedor Participante. Es posible que el Usuario Registrado no pueda acceder a estos servicios hasta que proporcione dichos consentimientos y confirmaciones.

Tenga en cuenta que nos reservamos el derecho a cambiar o poner término a las condiciones de una relación con cualquier Proveedor Participante en cualquier momento debido a un cambio requerido bajo circunstancias impredecibles ocurridas después de la fecha estipulada, cambios regulatorios o un cambio impuesto o requerido por uno o más de nuestros Proveedores de Servicios Externos.

Proveedores de Servicios Externos.

Para proporcionar las funciones de la Plataforma de Onduo, tenemos contratos con una variedad de proveedores de servicios externos (“Proveedores de Servicios Externos”) que brindan servicios y contenido informativo sobre el cuidado de la salud. Entiende que uno o más de nuestros Proveedores de Servicios Externos pueden obligarnos a solicitarle ciertos compromisos o declaraciones para que pueda usar los servicios o el contenido de dichos Proveedores de Servicios Externos, que es posible que debamos solicitarle que indique, a través de un acuerdo, que acepta ciertas Condiciones de Uso del contenido y los servicios del Proveedor de Servicios Externo (y que, luego, debamos compartir dicho acuerdo) y que, hasta que se celebre el acuerdo correspondiente, es posible que no tenga permitido acceder a los servicios y el contenido de terceros. Si no desea o no puede cumplir con los requisitos del proveedor vigentes en ese momento, no use el contenido ni los servicios, ni acceda a ellos.

Nos reservamos el derecho a cambiar las condiciones de una relación con cualquier Proveedor de Servicios Externo o negarle el acceso al contenido o los servicios correspondientes en cualquier momento sin aviso previo debido a un cambio requerido bajo circunstancias impredecibles ocurridas después de la fecha estipulada, cambios regulatorios o cambios impuestos o requeridos por el Proveedor de Servicios Externo.

Proveedores de Servicios Externos y Condiciones Adicionales.

Su uso de ciertos componentes de la Plataforma de Onduo, que puede incluir la aplicación para smartphones o la consola de orientación basada en la Web que aloja Verily Life Sciences LLC (“Verily”), que proporciona Onduo junto con la Plataforma de Onduo, está sujeto a los Términos y Condiciones señalados en https://verily.com/terms/, los cuales Onduo no está autorizado para editar, alterar o corregir. En la medida en que lo permita la ley y sujeto a los acuerdos entre Verily y Onduo, Verily no asumirá ninguna responsabilidad que surja de las Condiciones de Uso de Onduo o que se relacione con ellas. Sin perjuicio de lo anterior, Verily es un beneficiario tercero de las Condiciones de Uso de Onduo y, por ende, usted le otorga a Verily el derecho a verificar que cumple con las disposiciones contenidas en dichas Condiciones de Uso y a hacerlas cumplir si es necesario.

En la medida en que su uso de la Plataforma de Onduo incluya datos enviados o generados por el dispositivo de monitoreo continuo de la glucosa (CGM) de Dexcom, Inc. (“Dexcom”) (en conjunto, “Datos de CGM de Dexcom”), reconoce y acepta que dichos Datos de CGM de Dexcom los proporciona Dexcom sin ninguna garantía ni ninguna condición adicional que contradiga o aumente las garantías y condiciones explícitas publicadas o puestas a disposición por Dexcom, o que difiera de ellas. Además, con respecto a cualquier referencia al nombre, el logotipo o los términos de Dexcom que proporcione o ponga a disposición Dexcom (en conjunto, “Logotipo de Dexcom”), reconoce y acepta que (I) el Logotipo de Dexcom no significa que Dexcom desarrolló, validó, aprobó o respaldó la Plataforma de Onduo ni ninguna función, funcionalidad o caso de uso en ella, y que (II) Dexcom no será responsable de ningún uso de la Plataforma de Onduo ni de ningún tipo de marketing, promoción, venta, licencia, distribución o comercialización de la Plataforma de Onduo que infrinja los acuerdos a través de los cuales se pusieron a disposición los Datos de CGM de Dexcom mediante la Plataforma de Onduo. Limitación de Responsabilidades

EL USUARIO RECONOCE Y ACEPTA QUE NINGUNA ENTIDAD DE SOCIOS SERÁ RESPONSABLE DE NINGÚN DAÑO DIRECTO, INDIRECTO, INCIDENTAL, ESPECIAL, RESULTANTE, MONETARIO O EJEMPLAR, COMO TARIFAS, SANCIONES, PÉRDIDAS O RESPONSABILIDADES DE CUALQUIER TIPO (INCLUIDAS LESIONES PERSONALES ESPECÍFICAS) QUE SURJAN DE LAS SIGUIENTES ACCIONES O SE RELACIONEN CON ELLAS:

A. SU USO DE LA PLATAFORMA DE ONDUO O DE CUALQUIER MATERIAL PUBLICADO EN ELLA;

B. SU CONECTIVIDAD HACIA LA PLATAFORMA DE ONDUO DESDE CUALQUIER OTRO SITIO O DESDE LA PLATAFORMA DE ONDUO HACIA CUALQUIER OTRO SITIO;

C. CUALQUIER ACTO (O INCAPACIDAD PARA ACTUAR) DE UNA ENTIDAD DE SOCIOS, UN PROVEEDOR PARTICIPANTE, UN PROVEEDOR DE SERVICIOS EXTERNO O CUALQUIERA DE SUS EMPLEADOS O AGENTES RESPECTIVOS, INCLUIDOS, SIN LIMITACIONES:

1. PÉRDIDA DE DATOS, SOFTWARE O HARDWARE;

2. PÉRDIDA O RESPONSABILIDAD QUE SURJA DE RETRASOS O INTERRUPCIONES EN EL ACCESO;

3. PÉRDIDA O RESPONSABILIDAD QUE SURJA DE VIRUS INFORMÁTICOS;

4. PÉRDIDA O RESPONSABILIDAD QUE SURJA DE DATOS NO ENTREGADOS O DATOS ENTREGADOS DE FORMA INCORRECTA;

5. CUALQUIER OTRA PÉRDIDA O RESPONSABILIDAD QUE SURJA DE OMISIONES O ACTOS NEGLIGENTES INTENCIONALES DE UNA ENTIDAD DE SOCIOS, UN PROVEEDOR PARTICIPANTE O UN PROVEEDOR DE SERVICIOS EXTERNO;

6. PÉRDIDA O RESPONSABILIDAD QUE SURJA DE CUALQUIER ERROR, OMISIÓN O INEXACTITUD EN PARTE O LA TOTALIDAD DE LA INFORMACIÓN O LOS SERVICIOS OBTENIDOS EN LA PLATAFORMA DE ONDUO O A TRAVÉS DE ELLA;

7. PÉRDIDA O RESPONSABILIDAD QUE SURJA DE LA PÉRDIDA PARCIAL O TOTAL DE LAS FUNCIONES DE LA PLATAFORMA DE ONDUO;

8. PÉRDIDA O RESPONSABILIDAD DE CUALQUIER TIPO O NATURALEZA QUE SE RELACIONE DE CUALQUIER MANERA CON CARGOS DE LÍNEAS O EMPRESAS TELEFÓNICAS;

9. DAÑOS RESULTANTES O POR LESIONES PERSONALES O DAÑOS EMOCIONALES; Y

10. PÉRDIDA O RESPONSABILIDAD QUE SURJA POR MOTIVOS DE FUERZA MAYOR.

EN ALGUNAS JURISDICCIONES NO SE PERMITE LA EXCLUSIÓN O LIMITACIÓN DE RESPONSABILIDAD POR CIERTOS DAÑOS. POR CONSIGUIENTE, ES POSIBLE QUE ALGUNAS DE LAS LIMITACIONES ANTERIORES NO SE APLIQUEN A USTED.

Renuncia de Garantías

ES RESPONSABLE ÚNICA Y EXCLUSIVAMENTE DE DETERMINAR LA IDONEIDAD DE LAS FUNCIONES DE LA PLATAFORMA DE ONDUO PROPORCIONADAS A CONTINUACIÓN PARA SUS USOS Y FINES PREVISTOS. RECONOCE Y ACEPTA QUE LAS FUNCIONES DE LA PLATAFORMA DE ONDUO SE PROPORCIONAN “TAL COMO ESTÁN” Y “SEGÚN SU DISPONIBILIDAD”, SIN GARANTÍAS DE NINGÚN TIPO, NI EXPLÍCITAS NI IMPLÍCITAS.

ONDUO NO REALIZA NINGUNA DECLARACIÓN NI OFRECE NINGUNA GARANTÍA DE NINGÚN TIPO, EXPLÍCITA, IMPLÍCITA O LEGAL, CON RESPECTO A LA PLATAFORMA DE ONDUO O LOS RESULTADOS OBTENIDOS DE LA PLATAFORMA DE ONDUO DIFERENTES DE LAS QUE SE INCLUYEN AQUÍ DE FORMA EXPRESA. NO SE MANIFIESTA NI GARANTIZA QUE (I) LA PLATAFORMA DE ONDUO SATISFARÁ SUS NECESIDADES, (II) EL ACCESO A LA PLATAFORMA DE ONDUO SERÁ ININTERRUMPIDO, OPORTUNO, SEGURO O LIBRE DE ERRORES, (III) LOS RESULTADOS QUE SE OBTENGAN DEL USO DE LA PLATAFORMA DE ONDUO SERÁN CONFIABLES NI QUE (IV) LA CALIDAD DE NINGÚN PRODUCTO, SERVICIO, INFORMACIÓN U OTROS MATERIALES OBTENIDOS A TRAVÉS DE LA PLATAFORMA DE ONDUO CUMPLIRÁ CON SUS EXPECTATIVAS.

NINGÚN REPRESENTANTE DE ONDUO NI LOS SOCIOS ESTÁN AUTORIZADOS PARA REALIZAR NINGUNA OTRA PROMESA NI OFRECER NINGUNA OTRA GARANTÍA, NI PUEDEN MODIFICAR ESTA GARANTÍA DE NINGUNA FORMA. SIN LIMITAR LA GENERALIDAD DE LO ANTERIOR, ONDUO Y LOS SOCIOS RENUNCIAN EXPLÍCITAMENTE A TODAS LAS GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD, ADECUACIÓN PARA CUALQUIER FIN DETERMINADO, DERECHO Y USO NO INDEBIDO, ASÍ COMO A TODAS LAS GARANTÍAS QUE SURJAN DEL USO COMERCIAL, EL CURSO DE LAS TRANSACCIONES O EL CURSO DEL CUMPLIMIENTO.

EN ALGUNAS JURISDICCIONES NO SE PERMITE LA EXCLUSIÓN DE CIERTAS GARANTÍAS. POR CONSIGUIENTE, ES POSIBLE QUE ALGUNAS DE LAS LIMITACIONES ANTERIORES NO SE APLIQUEN A USTED.

No asumimos ninguna obligación de corregir o actualizar la Plataforma de Onduo ni de resolver o aclarar ningún tipo de información inconsistente que pueda incluirse en la Plataforma de Onduo. Renunciamos a cualquier garantía relacionada con la exactitud, la puntualidad y la integridad de dicha información, así como a cualquier otra garantía, explícita o implícita, incluidas garantías de comerciabilidad o adecuación para un fin determinado. Además, no garantizamos que el acceso al sitio no tendrá errores o virus informáticos, ni ofrecemos ningún tipo de garantía contra usuarios no autorizados o hackers que intenten obtener acceso a la Plataforma de Onduo. Ninguna entidad de Onduo será responsable de ningún daño o pérdida relacionados con lo anterior. Si considera que estos materiales son ofensivos o censurables, no use la Plataforma de Onduo.

Es probable que sus Proveedores Autorizados vean o lean las anotaciones personales o cualquier otra información que ingrese en su cuenta de la Plataforma de Onduo. No manifestamos ni garantizamos que, si deja una nota, esta será revisada por los Proveedores Autorizados a quienes va dirigida la nota o por cualquier Proveedor Autorizado.

Varios

Estas condiciones, que incluyen la Renuncia de Responsabilidad de la Plataforma de Onduo, la Política de Privacidad de la Plataforma de Onduo y el Aviso de Propiedad Intelectual de la Plataforma de Onduo, constituyen el total y completo entendimiento de las partes con respecto al asunto discutido en ellos y sustituyen todos los entendimientos y contratos previos sobre dicho asunto. Cualquier anuncio, renuncia o comunicación que se requiera o permita en lo sucesivo debe enviarse por escrito a la otra parte a la dirección que se indica en estas Condiciones y debe considerarse como entregado inmediatamente después de la entrega al destinatario. En el caso de un conflicto entre estas Condiciones y la Renuncia de Responsabilidad de la Plataforma de Onduo, la Política de Privacidad de la Plataforma de Onduo y el Aviso de Propiedad Intelectual de la Plataforma de Onduo, prevalecerán estas Condiciones. Estas Condiciones (que incluyen la Renuncia de Responsabilidad de la Plataforma de Onduo, la Política de Privacidad de la Plataforma de Onduo y el Aviso de Propiedad Intelectual de la Plataforma de Onduo) y cualquier disputa que surja en lo sucesivo, además de su uso de la Plataforma de Onduo o su confianza en ella, se interpretarán y regirán de acuerdo con las leyes del estado de Massachusetts, independientemente de sus conflictos de principios legales. Acepta cumplir y estar sujeto a la jurisdicción exclusiva de los tribunales locales, estatales y federales en el condado de Suffolk, en Massachusetts.

Aviso de Propiedad Intelectual de la Plataforma de Onduo

La Plataforma de Onduo, sus funciones y su contenido son propiedad de Onduo, para sí misma o en nombre de sus afiliados o su Proveedor de Servicios Externo, y están bajo la protección de las leyes de derechos de autor y de propiedad intelectual internacionales y de EE.UU. Onduo y su Proveedor de Servicios Externo retendrán los títulos, los derechos de propiedad y todos los derechos de propiedad intelectual de las funciones de la Plataforma de Onduo y de cualquier software, documentación, propiedad intelectual o información o material de propiedad exclusiva que se haya usado o entregado en relación con el servicio de la Plataforma de Onduo. Salvo que se indique lo contrario, puede imprimir o descargar información de la Plataforma de Onduo solo para uso personal no comercial, siempre y cuando:

• no modifique ningún documento ni sus gráficos asociados de ninguna manera;
• no use ilustraciones, fotografías, gráficos ni secuencias de video o audio sin incluir el texto que los acompaña; e
• incluya una confirmación junto con el material copiado en la que indique la fuente del material con el mensaje “los materiales están protegidos por la ley de derechos de autor”.

Se prohíbe reimprimir o reproducir de cualquier forma cualquier documento en su totalidad o en parte, salvo que se obtenga un consentimiento previo por escrito del propietario de los derechos de autor. Nada en estas Condiciones debe interpretarse como que tiene derechos para vender, volver a empaquetar, revender, publicar en blogs o en cualquier otra plataforma, republicar, reproducir, vincular, enmarcar o almacenar cualquier material sin nuestro permiso.

Reconoce y acepta que tenemos derecho, a nuestra entera discreción, a quitar o negarnos a aceptar cualquier contenido que proporcione en relación con las funciones de la Plataforma de Onduo si dicho contenido infringe estas Condiciones o si lo consideramos inaceptable a nuestra entera y absoluta discreción. Reconoce y acepta que los componentes originales de su historia clínica serán, en todo momento, propiedad del proveedor de atención médica que los creó. Comuníquese directamente con su proveedor de atención médica si necesita copias de dichos registros.

Estas Condiciones no le otorgan ningún derecho, título, licencia o interés con respecto a ningún software o documento, ni a ningún derecho de autor, patente, marca registrada, secreto comercial o propiedad intelectual de ningún tipo de Onduo, sus afiliados o los Proveedores Participantes. No adquirirá ningún derecho de ningún tipo con respecto a ningún nombre comercial, marca, marca comercial del servicio, logotipo o clasificación de producto o servicio (estén o no registrados) con los cuales Onduo, sus afiliados y los Proveedores Participantes comercializan sus productos o servicios, ni podrá usarlos por ningún motivo.

Cualquier texto, selección y disposición de información, gráfico y diseño sujeto a derechos de autor en esta plataforma está protegido por los derechos de autor de Onduo, salvo que se indique lo contrario. No puede editar ni alterar ningún material en esta plataforma.

Reconoce que Onduo LLC puede cancelar o suspender su derecho a usar esta plataforma si incumple las disposiciones de estas Condiciones de Uso, o si Onduo LLC tiene motivos suficientes para sospechar que las incumplió.

Nuestras Marcas Registradas

“Onduo” y “Onduo Onward Together” son marcas de Onduo LLC y están registradas como tal en Estados Unidos y otros países. Onduo LLC protege sus marcas y logotipos en todos los países en los que los utiliza.

No puede enmarcar ni usar técnicas de enmarcado para rodear ningún logotipo, marca registrada o información de propiedad exclusiva (como imágenes, textos, diseños de página o formularios) de Onduo LLC sin un consentimiento previo por escrito. No puede usar ninguna metaetiqueta ni ningún otro texto oculto que incluya nuestras marcas registradas sin nuestro consentimiento previo por escrito.

Información para Denunciar Demandas de Incumplimiento de los Derechos de Autor

Onduo se reserva el derecho a quitar cualquier contenido subido en cualquier momento y por cualquier motivo. Además, Onduo cumple con las disposiciones de la ley Digital Millennium Copyright Act (“DMCA”) aplicables a los proveedores de servicios de Internet (Artículo 512 del título 17 del Código de Estados Unidos, con sus modificaciones) y responde a avisos claros de presuntos incumplimientos de los derechos de autor. Este artículo describe el procedimiento que se debe seguir para registrar una notificación de un presunto incumplimiento de los derechos de autor con Onduo y para registrar una contranotificación con respecto a material que se quitó o inhabilitó en respuesta a una notificación de un presunto incumplimiento de los derechos de autor.

Si Onduo toma medidas para quitar o inhabilitar contenido, haremos un intento de buena fe a fin de comunicarnos con el usuario que subió el contenido para que él o ella realice una contranotificación de conformidad con el artículo 512(g) del título 17 del Código de Estados Unidos. Como parte de nuestra política, documentamos todas las notificaciones de supuestos incumplimientos en los que tomamos medidas. Tal como ocurre con todos los avisos legales, se puede enviar una copia de la notificación a uno o más terceros, quienes podrían divulgarla con el público. Tenga en cuenta que la política de Onduo establece que se deben cancelar todas las cuentas de usuarios que infrinjan de forma repetitiva estas Condiciones de Uso o la Política de la DMCA.

Toda notificación a Onduo relacionada con un presunto incumplimiento de los derechos de autor según el artículo 512(c) del título 17 del Código de Estados Unidos debe incluir la siguiente información:

(a) una firma electrónica o física de la persona autorizada para actuar en nombre del propietario del derecho exclusivo que se está infringiendo;

(b) una identificación de la obra protegida por derechos de autor o cualquier otra propiedad intelectual que usted declara que se infringió o, si se incluye más de una obra protegida por derechos de autor en una sola notificación, una lista representativa de dichas obras; b

(c) una identificación del material que usted declara que es infractor y su ubicación en la Plataforma de Onduo;

(d) información suficiente para que Onduo se comunique con usted, como su dirección, número de teléfono o dirección de correo electrónico;

(e) una declaración en la que indica que cree de buena fe que el uso de los materiales por los que está interponiendo una demanda no está autorizado por el propietario de los derechos de autor, su agente o la ley; y

(f) una declaración firmada en la que indica que la información anterior en su aviso es exacta y que, bajo pena de perjurio, usted es el propietario de los derechos de autor o la persona autorizada para actuar en nombre del propietario de los derechos de autor.

Contranotificaciones

Si es un usuario y se quitó o inhabilitó el material que publicó en nuestra plataforma, puede ingresar una contranotificación en virtud del artículo 512(g) del título 17 del Código de Estados Unidos. Para que se haga efectiva, la contranotificación debe ser una comunicación escrita enviada a la dirección del Agente Asignado que indicó anteriormente que incluya la siguiente información:

(a) su firma digital o física;

(b) una identificación del material que se quitó o del acceso que se inhabilitó, además de la ubicación en la que se encontraba el material antes de quitarlo o en la que se inhabilitó el acceso;

(c) una declaración bajo pena de perjurio en la que indica que cree de buena fe que se quitó o inhabilitó el material por equivocación o a causa de un error en la identificación del material que se quitó o inhabilitó; y

(d) su nombre, dirección y número de teléfono, además de una declaración en la que indica que da su consentimiento a la jurisdicción del Tribunal del Distrito Federal para el distrito judicial en el que se encuentra la dirección o, si su dirección está fuera de Estados Unidos, para cualquier distrito judicial en el que pueda encontrarse Onduo, y que aceptará la citación de la persona que emitió la notificación de acuerdo con el apartado 512(c)(1)(C) del título 17 del Código de Estados Unidos.Las notificaciones de reclamos por incumplimiento de los derechos de autor que ocurran en la Plataforma de Onduo deben denunciarse al agente designado a la dirección proporcionada anteriormente.
